Service Agreement
This Service Contract states the terms and conditions that govern the contractual agreement between EASYVA OUTSOURCING LTD hereinafter referred to as the Agency and YOUR COMPANY hereinafter referred to as the Client.
In consideration of the Agency performing the services and the Client paying for such services, the parties agree to the following:
A. SERVICES
- The Cold Caller will aim to generate 2-3 warm leads per day depending on the health, quantity of the list and the total hours worked.
- The Client is responsible for ensuring that the Agency is provided with adequate flow of leads data so the cold callers are able to meet their quota.
- The Agency will provide the Client with weekly productivity reports as well as hold bi-weekly meetings with the assigned agents.
- The Agency will choose the caller that will be assigned to the Client. However, if the caller is not performing then the Agency will provide a replacement.

B. PAYMENT TERMS
- Payment of invoices are required upfront monthly. This amount may fluctuate if Client decides to increase or decrease hours or require other services. This can also increase at any time without notice due to inflation or improvement of services provided by the company.
Payment include:
- Total hour of Cold calling Monthly at a rate of $9.00 USD per hour.
- Lead Management/Acquisition specialist Service $12 – $15 per hour.
- Monthly Maintenance Fee – $250.00 USD.
- Dialer setup – Xencall – $150.00 USD. This is a one time setup fee.
- CRM – Podio setup Depends on the package (features). See Section E
- First Month’s payment must be made before training and set up begins.
- The Client is required to pay the full hourly rate for time spent fixing technical issues that are their responsibility, but is not required to pay for time fixing issues that are the agent’s responsibility.
- Once monthly payment is made for services, both parties understand and agree that the campaign begins within seven (7) days. This means that the schedule would begin within the 7 days after initial payment is made.
- If Client requires a refund before services officially begin or end the contract without adequate notice, this will attract a 20% fee deducted from monthly cost paid to the Agency. See Section C
- Payments to the Agency can be made through Easy VA’s Web Service or by monetary transfer through PayPal, Payoneer or a Banking Institution and any other approved medium.
- The Agency holds no responsibility for incomplete hours paid for by Client due to circumstances on Client’s end. However, if the issue was derived from the Agency, both parties agree and understand that the hours will be completed before the new calling schedule starts.
- Any adjustment to the hours in a given week paid for by Client, Client agrees and understands they will need to give the Agency at least 7 days’ notice for changes to be in effect.
- In the event of an emergency situation on both parties’ end, hours can be reduced to a minimum in any given week. However, both parties agree and understand that hours will be completed before the current billing period ends.
- Unless there is a prior verbal or written agreement between both parties, payments that are 24 hours overdue, may result in the suspension of services until payment is received.
C. Termination
- This agreement will automatically terminate when the agreed upon services have been completed and all payments have been received.
- If either Party does not fulfill the obligations they have under this agreement (i.e. – services are not completed or payments are not made), then the other party can terminate the agreement for breach of contract. The non-breaching party must notify the breaching party of their intent to terminate the agreement and provide the breaching party seven (7) days to correct the breach. If the breach is not corrected within seven (7) days, the non-breaching party can seek legal remedy.
- If the Client decides to terminate the agreement, they must provide the Agency with at least seven (7) days prior written notice.
- Under no circumstances should the Client contact or communicate with the assigned agent(s) outside of group chats or assigned emails created by the Agency as this is a term for termination.
- The Client must never disclose payment amount, method or schedule with any assigned agents.
D. Relationship of the Parties
- No Exclusivity: The parties understand that this agreement is not an exclusive arrangement. The parties agree that they are free to enter into other similar agreements with other parties.
- Assigned agent will be exclusive to the client for the agreed upon timeframe.
- Independent Contractors: The parties to this agreement are independent contractors. Neither party is an agent, representative, partner, or employee of the other party.
- Waiver: Neither party can waive any provision of this agreement, or any rights or obligations under this agreement, unless agreed to in writing by both parties. If any provision, right, or obligation is waived, it’s only waived to the extent agreed to in writing.
- Amendments: This agreement may be modified as needed. To make a modification, the parties have to agree to the modification in writing (an “Amendment”). The terms of this agreement will apply to any amendment the parties make.
- Assignment: The parties may not assign the responsibilities that they have under this agreement to anyone else unless both parties agree to the assignment in writing.
- Entire Agreement: This agreement puts the parties’ entire understanding of the services to be performed, compensation for the services, and anything else the parties have agreed to in writing. This agreement supersedes any other written or verbal communications between the parties, whether they were made before or after signing the agreement.
- Severability: If any section of this agreement is found to be invalid, illegal, or unenforceable, the rest of the agreement will still stand.
- No Exclusivity: The parties understand that this agreement is not an exclusive arrangement. The parties agree that they are free to enter into other similar agreements with other parties.
- Confidentiality: For the purposes of this Agreement, the term “Confidential Information” shall include, but not be limited to: documents, records, information and lead list, scripts provided by the Client, logins to software owned by the Client, Agreement, regardless of whether such Confidential Information has been expressly designated as confidential or proprietary. Confidential Information also includes any and all work products, studies and other material prepared by the Client or in the possession or control of the Client, which contain, include, refer to or otherwise reflect or are generated from any Confidential Information. However, Confidential Information does not include:
- information generally available to the public;
- widely used programming practices or algorithms;
- information rightfully in the possession of the Parties prior to signing this Agreement; and
- information independently developed without the use of any of the provided Confidential Information.
